McAfee, Inc. to Acquire NitroSecurity – Advances Security Risk Management

McAfee to Align Core Security Information and Event Management Capabilities into its Security Connected Framework

SANTA CLARA, Calif., October 4, 2011 — McAfee (NASDAQ:INTC) today announced a definitive agreement to acquire privately owned NitroSecurity. NitroSecurity is a leading provider of security information and event management (SIEM) solutions that provide complete visibility and situational awareness to protect critical information and infrastructure. Utilizing the industry’s fastest analytical tools, NitroSecurity identifies, correlates and remediates threats in minutes instead of hours, allowing organizations to quickly mitigate risks.

Following the completion of this proposed acquisition, McAfee® expects that NitroSecurity’s technology, combined with its own security management capabilities, will give organizations greater visibility into their endpoint assets, underlying network infrastructure, specific security threats and risks and system vulnerabilities across their entire IT environment. Users can leverage this information via a single management console to more rapidly assess their enterprise and operational risk profile and security posture, analyze and institute a range of corrective actions, such as issuing new configurations, implementing new policies and deploying more recent software updates.

The proposed transaction will bring together best-in-class technologies:

  • NitroSecurity’s leadership position in the SIEM market will help McAfee significantly expand its Risk and Compliance and Global Threat Intelligence capabilities
  • NitroSecurity’s SIEM management, which has already passed integration testing with McAfee® ePolicy Orchestrator® (ePO™), gives customers a single security platform for event analysis and management across the environment. The integration expands the capability of the McAfee ePO platform to view events, activity and logs created by networks, databases and applications.
  • The McAfee ePO platform can leverage the extended SIEM capabilities to more rapidly institute a range of monitoring and mitigation actions, such as issuing new configurations, implementing new policies and deploying more recent software updates

“McAfee is focused on keeping its customers safe with optimized security and risk management solutions,” said Stuart McClure, general manager and senior vice president of the Risk and Compliance business unit at McAfee. “McAfee has taken another significant step toward this goal with the proposed acquisition of NitroSecurity. With NitroSecurity’s technology and talent, McAfee can expand its reach into new markets, secure new platforms and strengthen its hold as the leader in the security risk management market.”

NitroSecurity was named a leader in the 2011Gartner Magic Quadrant for Security Information and Event Management. The SIEM market is a fast growing market. During 2010, the SIEM market grew from $858M to $987M, achieving a growth rate of 15 percent (Gartner Magic Quadrant for Security Information and Event Management, by Mark Nicolett and Kelly Kavanagh, May 12, 2011, RV4A105172012).

“As a long standing McAfee Security Innovation Alliance partner, we know that NitroSecurity’s technology can provide the McAfee customer base with the highest level of security and compliance across their IT environment,” said Ken Levine, chairman and chief executive officer, NitroSecurity. “NitroSecurity’s technology supports a broad range of information sources including network security devices, firewalls, operating system and application logs, vulnerability assessment scans, identity and access management systems and privacy systems. It will complement the extensive McAfee security portfolio and help to meet the demanding compliance and protection needs of our joint customers.”

Subject to regulatory approvals and other customary closing conditions, we anticipate that the acquisition will close by the fourth quarter of 2011. Following the closing, we anticipate that the NitroSecurity team will be incorporated into the McAfee Risk and Compliance business unit, headed by McClure.
